The Role: Corporate Affairs and Company Law Expert

Leonardo S.p.A. is seeking a Corporate Affairs and Company Law Expert to join the team, reporting directly to the Head of Corporate Bodies Affairs and Secretary to the Board of Directors and Internal Committees. This is a Senior, permanent, hybrid role based in Rome.

Key Responsibilities:

  • Manage the secretarial activities and operational support for the corporate bodies of Leonardo S.p.A.
  • Support the Board Evaluation process for Leonardo S.p.A.'s corporate bodies.
  • Ensure the maintenance of Leonardo S.p.A.'s corporate registers.
  • Handle fulfilments related to corporate bodies and manage relations with supervisory authorities (Consob and Borsa Italiana), in coordination with other competent organizational units.
  • Support corporate bodies in managing Internal Dealing, Related Party Transactions, Regulated Information, and compliance with the Market Abuse Regulation, in coordination with other competent organizational units.
  • Prepare and manage the Shareholders' Meeting and related fulfilments, in coordination with other competent organizational units.
  • Manage relations with shareholders (including retail and minorities) in anticipation of the Shareholders' Meeting and dividend payments.

Qualifications and Skills:

  • Education: Master's degree in Law (preferably with qualification to practice as a lawyer).
  • Technical Skills:
    • In-depth knowledge of company law.
    • Minimum 5 years of proven experience in corporate secretarial and company law matters within listed/regulated companies.
    • Knowledge and ability to analyze and interpret regulations concerning corporate governance and listed companies.
  • Soft Skills:
    • Strong interpersonal and relational skills.
    • Ability to manage relationships, including with directors and statutory auditors.
  • Language Skills: Excellent knowledge of English (C1 level).
